1. Introduction and Acceptance
Welcome to NIEdge. These Terms and Conditions ("Terms") constitute a legally binding agreement between you and NIEdge governing your access to and use of the NIEdge platform and all of the content, features, tools, and services made available through it. Please read these Terms carefully in their entirety before using NIEdge.
By accessing the NIEdge platform, creating an account, or using any feature or service offered through the platform, you confirm that you have read, understood, and agree to be bound by these Terms, as well as by our Privacy Policy, Refund Policy, and Disclaimer, all of which are incorporated into these Terms by reference. If you do not agree with any part of these Terms, you must immediately discontinue your use of NIEdge.
These Terms apply to all users of the platform, including users who access the platform without creating an account, users who have registered accounts, and users who have purchased premium features. The rights and obligations described in these Terms apply to all modes of access, including access through web browsers, mobile browsers, and any other method of access to the platform's content and services.
If you are using NIEdge on behalf of an organisation, institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, the terms "you" and "your" refer to both you as an individual and the entity you represent. If you do not have such authority, you may not use NIEdge on behalf of that entity.
These Terms were last updated in July 2026. We reserve the right to update these Terms at any time, as described in Section 20 of this document. The most current version of these Terms will always be available on the Platform's legal page.
2. Definitions
The following terms have the meanings assigned to them throughout these Terms. These definitions apply regardless of whether the defined term is used in singular or plural form.
"NIEdge" refers to the NIEdge platform, including its website, all content hosted thereon, all tools and services made available through the platform, and the team of individuals who develop and operate the platform.
"Platform" means the NIEdge website and all associated digital services, tools, features, content, and APIs that are accessible through the official NIEdge website or any successor domain operated by NIEdge.
"User," "you," and "your" refer to any individual who accesses, browses, registers on, or uses the NIEdge platform in any capacity.
"Account" means the user profile created when a person registers on NIEdge using a supported authentication method.
"Content" means all text, images, graphics, data, documents, videos, software, and other materials available on or through the platform, whether created by NIEdge, contributed by users, or sourced from third parties.
"User Content" means any content submitted, uploaded, or generated by a user through the platform, including files uploaded to platform tools and outputs generated by platform tools on the basis of user-supplied inputs.
"NIEdge Content" means all content created, developed, or curated by NIEdge, including but not limited to study materials, notes, question banks, practice sets, templates, interface designs, software code, and all original content published on the platform.
"Premium Services" means any feature, tool, content, or service available on NIEdge that is accessible only upon payment of a fee, including one-time purchases and subscription-based access.
"Free Services" means all features, tools, content, and services available on NIEdge that do not require payment.
"Subscription" means a recurring paid arrangement that grants access to specified Premium Services for the duration of the subscription period.
3. Eligibility and Account Registration
To use NIEdge, you must be at least 13 years of age. By using NIEdge, you represent and warrant that you meet this minimum age requirement. If you are between the ages of 13 and 18, you represent that you have the consent of a parent or legal guardian to use the platform and that your parent or guardian has reviewed these Terms.
To access certain features of NIEdge, including any Premium Services, you are required to create an account. Account creation requires a valid email address and either the creation of a password managed by our authentication provider, or the use of a supported third-party sign-in method such as Google Sign-In. By creating an account, you agree to provide accurate, current, and complete information and to keep your account information updated throughout the period that your account remains active.
NIEdge reserves the right to refuse account registration or to reject any application to create an account for any reason, including where we have reason to believe that the application is made in bad faith, that the information provided is inaccurate, or that the applicant has previously violated these Terms and had their account suspended or terminated.
You may not create more than one account for personal use without prior written authorisation from NIEdge. If you have been suspended from NIEdge, you may not create a new account using the same or different credentials unless and until the suspension is lifted by NIEdge. Creating a new account to circumvent a suspension constitutes a violation of these Terms.
4. User Accounts and Responsibilities
You are responsible for all activity that occurs under your NIEdge account, including any activity carried out by persons to whom you have disclosed your credentials or who have obtained access to your account through any means. NIEdge cannot and will not be held liable for any loss or damage arising from the unauthorised use of your account, other than where such loss or damage is directly caused by NIEdge's failure to implement reasonable security measures.
You are solely responsible for maintaining the confidentiality of your account credentials. You must not share your username, password, or any other account credentials with any third party. You must not allow any other person to access the platform using your credentials, regardless of whether that person is known to you or whether you trust that person.
You must notify NIEdge immediately if you become aware of any actual or suspected unauthorised access to your account or any other security breach affecting your account. You can report security incidents by emailing niedge.nie@gmail.com with the subject line "Account Security Incident." Prompt reporting allows us to take appropriate action to protect your account and the platform.
You agree to keep the information associated with your account accurate and up to date. Outdated or inaccurate account information may prevent us from contacting you regarding important account-related matters and may affect your ability to access certain features or to resolve support issues.
NIEdge accounts are personal and non-transferable. You may not sell, lend, transfer, or otherwise assign your account or any rights associated with it to any third party. Any purported transfer of an account is void and may result in the suspension or termination of the account.
5. Acceptable Use
NIEdge grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the platform in accordance with these Terms. This licence is subject to the restrictions and obligations set out in this section and throughout these Terms. Any use of the platform that is not expressly permitted by these Terms is prohibited.
You agree that you will not, and will not attempt to, engage in any of the following prohibited activities in connection with your use of the NIEdge platform:
- Using the platform in any manner that violates any applicable local, state, national, or international law or regulation, including but not limited to laws relating to data protection, intellectual property, consumer protection, and electronic commerce;
- Reproducing, distributing, modifying, creating derivative works of, publicly displaying, or exploiting any NIEdge Content without prior written authorisation from NIEdge;
- Attempting to gain unauthorised access to any part of the platform, its servers, its databases, or any systems or networks associated with the platform;
- Using automated tools, scripts, bots, crawlers, spiders, scrapers, or any other automated means to access, collect data from, or interact with the platform without prior written authorisation from NIEdge;
- Impersonating any person or entity, including any NIEdge representative, or making any false or misleading statement about your identity or affiliation with any person or entity;
- Uploading, transmitting, or making available any content that is unlawful, defamatory, abusive, threatening, harassing, obscene, vulgar, invasive of another person's privacy, or otherwise objectionable;
- Uploading or transmitting any content that infringes the intellectual property rights, privacy rights, or any other rights of any third party;
- Uploading or transmitting any malicious code, viruses, worms, trojan horses, ransomware, or any other software or code that is designed to disrupt, damage, or unauthorisedly access the platform or any connected systems;
- Sharing, reselling, sublicensing, or otherwise redistributing access to any Premium Service or any content obtained through a Premium Service without prior written authorisation from NIEdge;
- Using the platform or any content obtained through the platform for commercial purposes, including resale or redistribution for profit, without prior written authorisation from NIEdge;
- Engaging in any conduct that imposes an unreasonable or disproportionately large load on the platform's infrastructure, including through denial-of-service attacks or artificially inflated traffic;
- Collecting, harvesting, or otherwise aggregating personal information about other users of the platform without their consent;
- Using the platform in any way that damages, interferes with, or impairs the platform's ability to function correctly or that adversely affects the experience of other users;
- Reverse engineering, disassembling, decompiling, or otherwise attempting to derive the source code of any proprietary software that forms part of the platform.
NIEdge reserves the right to investigate any suspected violation of this section and to take appropriate action, including suspension or termination of the relevant account, removal of prohibited content, and referral of the matter to appropriate law enforcement authorities where applicable.
6. Platform Availability and Modifications
NIEdge makes no guarantee that the platform will be available without interruption at all times. The platform may be temporarily unavailable due to scheduled maintenance, unplanned technical issues, infrastructure outages, actions by third-party hosting providers, or events beyond NIEdge's reasonable control. NIEdge shall not be liable for any loss or damage resulting from any period during which the platform is unavailable, whether the unavailability is planned or unplanned.
We will make reasonable efforts to schedule planned maintenance during periods of lower usage and to provide advance notice of significant planned downtime where practicable. Unplanned outages will be addressed on a priority basis, and we will communicate the status of ongoing outages through appropriate channels where possible.
NIEdge reserves the right to modify, update, enhance, restrict, or discontinue any feature or aspect of the platform at any time, with or without prior notice. This includes the right to add new features, to change the functionality of existing features, to remove features that are no longer available, and to change the terms under which specific features are offered (for example, to move a feature from the free tier to a paid tier).
Where a change results in the permanent removal of a feature for which you have made a paid purchase, NIEdge will make reasonable efforts to notify affected users in advance and to provide a fair resolution, which may include an alternative feature or a partial refund at NIEdge's discretion. This commitment applies only to features that are permanently removed; it does not apply to temporary unavailability due to maintenance or technical issues.
7. Intellectual Property Rights
7.1 Ownership of NIEdge Content
All intellectual property rights in and to the NIEdge platform, including its design, source code, interface, branding, graphics, original text, study materials, tool templates, question banks, notes, and any other original content created by NIEdge, are the exclusive property of NIEdge and its contributors. These rights include copyright, trademark rights, design rights, database rights, and all other intellectual property rights that may subsist in any jurisdiction.
NIEdge is proprietary software. It is not open source, and no part of the platform's source code or design files is licensed for public use, reproduction, or modification unless explicitly stated in accompanying documentation for a specific component. The absence of such explicit permission means that the component is proprietary and may not be reproduced, modified, or distributed.
7.2 Licence to Use the Platform
Subject to your compliance with these Terms, NIEdge grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the platform and its content for your personal, non-commercial academic purposes. This licence does not extend to the reproduction, distribution, public display, or commercial exploitation of any NIEdge Content. It does not include the right to create derivative works based on NIEdge Content or to sublicense the rights granted to any third party.
7.3 Trademarks and Branding
The "NIEdge" name, logo, and related branding are trademarks of NIEdge. You may not use these marks in any context without prior written permission from NIEdge, including in connection with any product, service, or content that is not affiliated with NIEdge or that might reasonably be construed as an endorsement or sponsorship by NIEdge.
7.4 Third-Party Intellectual Property
The NIEdge platform may include or link to content that is owned by or licensed from third parties, including academic institutions, publishers, or other copyright holders. Third-party content is subject to the intellectual property rights of its respective owners, and these Terms do not grant you any rights in respect of third-party content beyond the right to access it through the platform to the extent permitted by the relevant rights holders.
7.5 Copyright Complaints
NIEdge hosts educational content contributed by students and team members. If you believe that any content on the Platform infringes your copyright, please send a written notice to niedge.nie@gmail.com with the subject line "Copyright Notice". Your notice should identify the copyrighted work, the allegedly infringing material on the Platform, and your contact details. We will review valid notices promptly. If a complaint is found to be valid, NIEdge may temporarily disable or permanently remove the identified content while the matter is investigated and resolved.
8. User-Submitted Content and AI Suggestions
8.1 User Content and Uploads
Certain features of the Platform allow you to upload files, submit information, or provide inputs (such as resumes, portfolios, cover letters, and other documents). You retain full ownership of any content you upload or submit to the Platform. By uploading content, you grant NIEdge a limited, non-exclusive, worldwide, royalty-free licence to store, process, and display your content solely for the purpose of providing you with the services you have requested. We will not use your uploaded content for any other purpose. You may delete your uploaded content at any time through the Platform or by contacting us.
You represent and warrant that you own all rights in your User Content or have obtained all necessary permissions to submit it through the Platform. You are solely responsible for ensuring that your content does not violate these Terms, infringe any third-party rights, or contain harmful or illegal material. NIEdge reserves the right, but is not obligated, to review, screen, or remove any User Content at our discretion.
8.2 Automated Suggestions and Generated Content
Certain features of the Platform may generate automated suggestions, recommendations, or content based on your inputs. You remain solely responsible for reviewing, verifying, and deciding whether to use any generated output. NIEdge does not guarantee the accuracy, completeness, or suitability of any automated output for any particular purpose.
10. Subscription and Access Terms
Where NIEdge offers Premium Services on a subscription basis, the following terms apply in addition to the general terms set out in Section 9.
A subscription provides access to the specified Premium Services for the stated subscription period (for example, monthly or annually). Access is granted from the date of successful payment and continues until the end of the applicable subscription period, unless the subscription is cancelled before that date or unless the account is suspended or terminated in accordance with Section 11 of these Terms.
Subscriptions may auto-renew at the end of each subscription period if you have authorised auto-renewal at the time of purchase. You will be notified before any auto-renewal takes place, and you may cancel your subscription at any time prior to the renewal date to prevent the next charge from being applied. Cancellation of a subscription takes effect at the end of the current subscription period; it does not entitle you to a refund of any amounts already paid for the current period.
One-time purchases of specific Premium Services grant access to those services for the stated duration or, where no duration is stated, for the period during which those services remain available on the platform. One-time purchase access does not automatically renew.
NIEdge reserves the right to modify the content, scope, and features included in any subscription offering with reasonable advance notice. If changes to a subscription offering are material and you do not wish to continue with the modified subscription, you may cancel the subscription and will be entitled to a pro-rata refund for the unused portion of the current period at NIEdge's discretion.
11. Account Suspension and Termination
11.1 Termination by You and Account Closure
You may request closure of your NIEdge account at any time by contacting us at niedge.nie@gmail.com with the subject line "Account Deletion Request." Upon receiving and verifying your request, we will process account closure within 30 business days.
Following account closure:
- Your profile information, preferences, and account credentials will be deleted from our active database.
- Content you have uploaded (resumes, documents, portfolios) will be removed from our active systems within the same 30-business-day window.
- Anonymised, aggregated, or de-identified data that does not identify you individually may be retained for platform analytics and improvement purposes.
- Records that we are legally required to retain (such as financial transaction records) will be kept for the minimum period required by applicable law and then securely deleted.
Deletion of your account does not entitle you to a refund of any previous payments. Please review our Refund Policy before requesting account closure.
11.2 Suspension or Termination by NIEdge
NIEdge reserves the right to suspend, restrict, or terminate your account and access to the platform at any time, with or without prior notice, if we have reasonable grounds to believe that you have:
- Violated any provision of these Terms or any other policy that governs your use of the platform;
- Engaged in any activity that is fraudulent, abusive, or harmful to NIEdge, to other users of the platform, or to third parties;
- Used the platform in any manner that creates a legal, regulatory, or reputational risk for NIEdge;
- Provided materially false information during registration or subsequently;
- Attempted to circumvent security controls, access controls, or payment obligations;
- Created a new account after having had a previous account suspended or terminated in violation of these Terms.
11.3 Effects of Termination
Upon termination of your account, whether by you or by NIEdge, your licence to use the platform is immediately revoked and you must cease all use of the platform. NIEdge will process any deletion of your personal information in accordance with our Privacy Policy. Any content you have uploaded that is associated with your account will be deleted, subject to any retention obligations described in the Privacy Policy.
Termination of your account does not affect any rights or obligations that accrued prior to termination. Provisions of these Terms that, by their nature, should survive termination will continue to apply following termination, including provisions relating to intellectual property, limitation of liability, indemnification, and governing law.
12. Disclaimer of Warranties
The NIEdge platform and all content, tools, and services provided through it are offered strictly on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, NIEdge expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to the following:
- Any implied warranty of merchantability or fitness for a particular purpose;
- Any warranty that the platform will operate without interruption, errors, or defects;
- Any warranty regarding the accuracy, completeness, reliability, timeliness, or suitability of any content, tool output, or information available through the platform;
- Any warranty that the platform is free from viruses, malicious code, or other harmful components;
- Any warranty that defects in the platform will be corrected;
- Any warranty regarding outcomes associated with the use of any tool or feature on the platform, including academic performance, examination results, or career outcomes.
Your use of the NIEdge platform is entirely at your own risk. This disclaimer of warranties applies to all content, tools, features, and services offered through the platform, regardless of whether they are free or paid, regardless of whether NIEdge had knowledge of the possibility of the relevant defect or limitation, and regardless of the course of dealing between you and NIEdge.
Some jurisdictions do not allow the exclusion of implied warranties, in which case some of the exclusions above may not apply to you. In such jurisdictions, NIEdge's liability will be limited to the maximum extent permitted by applicable law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, NIEdge and its founders, contributors, service providers, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or relating to your use of or inability to use the NIEdge platform, regardless of the basis of the claim (whether in contract, tort, negligence, strict liability, or otherwise) and regardless of whether NIEdge has been advised of the possibility of such damages.
Without limiting the generality of the foregoing, NIEdge shall not be liable for:
- Loss of revenue, profit, anticipated savings, business, or data;
- Loss of academic performance, examination outcomes, or academic standing;
- Loss of career opportunities, employment prospects, or professional standing;
- Damages arising from interruption or unavailability of the platform;
- Damages arising from errors, omissions, or inaccuracies in content or tool outputs;
- Damages arising from your reliance on information, guidance, or results provided through the platform;
- Damages arising from the actions or omissions of third-party service providers integrated with the platform;
- Damages arising from the unauthorised access to or alteration of your account or data.
In jurisdictions where a complete exclusion of liability is not permitted by law, the total aggregate liability of NIEdge to you in connection with these Terms or your use of the platform, from all causes of action and all theories of liability, shall not exceed the greater of (a) the total amount you paid to NIEdge in the twelve months preceding the event giving rise to the claim, or (b) one thousand Indian Rupees (₹1,000).
14. Indemnification
You agree to indemnify, defend, and hold harmless NIEdge, its founders, contributors, service providers, and each of their respective affiliates, officers, directors, agents, and representatives from and against any and all claims, liabilities, demands, losses, damages, costs, and expenses, including reasonable legal fees and costs, arising out of or relating to:
- Your use of the NIEdge platform in any manner that violates these Terms;
- Any User Content you submit, upload, or otherwise make available through the platform;
- Your violation of any applicable law, regulation, or the rights of any third party;
- Any claim by a third party arising from your use of the platform;
- Any misrepresentation you make to NIEdge or to any third party in connection with the platform.
NIEdge reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with NIEdge in the defence of that matter. You may not settle any claim to which NIEdge is a party without NIEdge's prior written consent.
15. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the NIEdge platform, both parties agree to attempt to resolve the matter informally in the first instance. Either party may initiate an informal resolution process by notifying the other party in writing of the nature of the dispute and the relief sought.
The parties agree to negotiate in good faith for a period of at least 30 days following the delivery of such notice before pursuing any formal legal proceedings. This informal dispute resolution process is a precondition to the commencement of any formal proceeding, except where emergency relief is required to prevent imminent harm.
If the dispute is not resolved through informal negotiation within the required period, either party may pursue their legal remedies in the courts of competent jurisdiction as specified in Section 16 of these Terms.
Notwithstanding the above, either party may at any time seek injunctive or other equitable relief from a court of competent jurisdiction where such relief is necessary to prevent irreparable harm that cannot adequately be compensated by monetary damages.
16. Governing Law and Jurisdiction
These Terms, and any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the NIEdge platform, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws provisions.
Subject to the dispute resolution process described in Section 15, you irrevocably submit to the exclusive jurisdiction of the courts located in Karnataka, India for the resolution of any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the platform.
If you are accessing the platform from a jurisdiction other than India, you do so at your own risk and are responsible for compliance with local laws where applicable. NIEdge makes no representation that the platform or its content is appropriate or available for use in any particular jurisdiction outside India.
17. Severability and Waiver
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law. The invalidity of one provision shall not affect the validity of any other provision.
Any failure by NIEdge to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless specifically acknowledged in writing by NIEdge. A waiver in any specific instance shall not be construed as a general waiver of the same or any other right or provision.
18. Entire Agreement
These Terms, together with the NIEdge Privacy Policy, Refund Policy, Disclaimer, and any other policies or agreements referenced herein, constitute the entire agreement between you and NIEdge with respect to your use of the platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether oral or written, between you and NIEdge in relation to the subject matter hereof.
No prior course of dealing, prior negotiations, or prior practice shall be used to modify or contradict the terms of this agreement. Any representation or warranty not expressly set out in these Terms shall have no legal effect.
20. Changes to These Terms
NIEdge reserves the right to modify or replace these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this document. For material changes — those that significantly affect your rights or obligations under these Terms — we will make reasonable efforts to provide advance notice through the platform or by email to the address associated with your account, typically at least 14 days before the change takes effect.
Your continued use of the NIEdge platform after the effective date of any change to these Terms constitutes your acceptance of the modified Terms. If you do not agree with any change, you must stop using the platform and may request deletion of your account as described in Section 11.1.
We encourage you to review these Terms periodically to remain informed of the current terms governing your use of the platform. The most current version of these Terms will always be available on the Platform's legal page.

We aim to acknowledge all formal legal communications within 5 business days. For queries requiring legal assessment, substantive responses may require additional time.
19. Force Majeure
NIEdge shall not be liable for any failure or delay in the performance of its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications outages, power failures, civil unrest, war, pandemic, or other similar events. NIEdge will use reasonable efforts to resume normal service as soon as practicable.
